What's New
Starting October 30, 2025 - HPE OEM Windows Server 2025 Base Licenses and Downgrades are now available in a streamlined and sustainable delivery format, offering customers enhanced convenience and ease of management. Instead of receiving a physical DVD, users can now download the Windows Server installation media directly from My HPE Software Center (MSC). Customers will still receive a physical Certificate of Authenticity (COA) label and documentation.
This modernized approach not only simplifies the user experience but also supports sustainability by eliminating the need for physical media, reducing waste, and minimizing environmental impact. By transitioning to digital delivery, HPE empowers users with faster access to their Operating System and a more efficient way to manage their licenses.
Therefore, HPE has expanded its licensing portfolio, introducing 18 new Electronic Software Delivery (ESD) SKUs:
- - 10 new ESD SKUs for Windows Server 2025 Base Licenses.
- - 8 new ESD SKUs supporting downgrade rights for Windows Server 2022 and Windows Server 2019.
Notes: The current HPE OEM Windows Server offering will remain unchanged. Physical (DVD) SKUs will continue to be available, and the new Digital Media option will coexist alongside the physical format until further notice.

By placing a request for a Windows Server 2022 Downgrade kit, you confirm that your HPE Server meets the Microsoft processor requirements, the details of which can be found at the following link:

Please note, for the deployed OS to be supported by Microsoft, your HPE Server must meet all processor requirements that are specified and listed for both the licensed product and the downgrade/down-edition (DG/DE) software. For clarity, if you purchased a Microsoft Windows Server 2025 and intend to downgrade to Windows Server 2022, your server must meet both the processor requirements for Microsoft Windows Server 2025 and 2022.
This requirement applies both to customers who have purchased the Windows Server OEM license directly from HPE or from an HPE Reseller or Partner. The Microsoft processor requirements are in addition to other hardware requirements for the Windows Server operating system products that are specified in the document located at: https://learn.microsoft.com/en-us/windows-hardware/design/minimum/minimum-hardware-requirements-overview .
Microsoft may update the processor requirements and the minimum hardware requirements for Windows Server operating system products as requirements change.
Microsoft Hardware Specifications for Standard and Datacenter Editions
Unless otherwise specified, these minimum system requirements apply to both Standard and Datacenter editions.
Processor
Processor performance depends not only on the clock frequency of the processor, but also on the number of processor cores and the size of the processor cache. The following are the processor requirements for this product:

Storage controller and disk space requirements
Computers that run Microsoft Windows Server 2025 must include a storage adapter that is compliant with the PCI Express architecture specification. Persistent storage devices on servers classified as hard disk drives must not be PATA. Windows Server 2019 does not allow ATA/PATA/IDE/EIDE for boot, page, or data drives.
The following are the estimated minimum disk space requirements for the system partition, assuming Server Core installation.

This is a license agreement (“License”) between you and the Manufacturer that provided you with the Software.
Please read this License carefully. This Pack contains a copy of the Software. By accepting this License, you are authorized to distribute the Software contained in this Pack subject to your ongoing compliance with this License.
BY ACCEPTING THIS LICENSE, OPENING THE PACK, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE. If you do not accept and comply with the terms of this License, you may not use the Software and should then promptly return the unopened Pack to your distributor or Manufacturer. In order to be entitled to distribute the Software as set forth herein, you hereby acknowledge and agree that you are a Reseller as defined herein.
- 1. Definitions
“Base License” means the corresponding edition and version of the Software for a Microsoft product labeled “additional license”. For example; “Windows Server 2022 Standard ROK” is the Base License for “Windows Server 2022 Standard Additional License ROK”.
“CAL” means a client access license.
“COA” means a Certificate of Authenticity.
“End User” means a person, company or other legal entity that acquires a Server for use of the Software in accordance with the applicable License Terms.
“Laws” means any and all applicable international, national, and local laws (including regulations and binding judicial law) as amended, extended, repealed, and replaced, or re-enacted.
“License Terms” means the applicable End User license terms for the Software.
“Manufacturer” means the computer system manufacturer identified on the Pack.
“Pack” means this package of Microsoft Software (not all Packs contain software).
“Partition” means each physical or logical allocation of at least: the CPUs, input/outputs, and memory resources into independent units, such that each unit is capable of running an instance of the Software.
“Partitioned Server” means a Server that contains Partitions.
“Processor” means a central processing unit (CPU), including dual core and multi-core processors.
“Processor Requirements” means the document posted at https://go.microsoft.com/fwlink/?linkid=847781 (or updated URL).
“Reseller” is an entity or person authorized by accepting this License to handle, preinstall, and distribute the Software on Manufacturer’s Servers.
“Server” means a Manufacturer’s fully assembled server, which must include a motherboard, memory and a CPU, all of which must meet the minimum requirements for the Software, and any additional requirements in this License.
“Software” means a copy of the Microsoft product listed on the Pack, along with any associated components and documentation, media, COA, and End User documentation.
“Storage Server” means a Manufacturer’s fully assembled Server, which is designed and distributed by a Reseller who accepts this License, for use without a monitor, keyboard or mouse, and must not be designed for use as a substitute for a general purpose computing device.
Authorized Distribution and Acceptance of this License. Please read this License carefully. This Pack contains a copy of the Software. By accepting this License, you are authorized to distribute the Software contained in this Pack subject to your ongoing compliance with this License.
BY ACCEPTING THIS LICENSE, OPENING THE PACK, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE. If you do not accept and comply with the terms of this License, you may not use the Software and should then promptly return the unopened Pack to your distributor or Manufacturer. In order to be entitled to participate in the ROK program and to the right to distribute the Software as set forth herein, you hereby acknowledge and agree that you are a Reseller as defined herein.
- 2. Limited License. Subject to your compliance with the terms of this License, Manufacturer hereby grants you the following license and distribution rights:
- (a) For each unit of Software, Manufacturer grants you a non-exclusive, limited license to distribute and sublicense the Software subject to your compliance with the following additional conditions:
- (1) You must distribute the Software to an End User together with the Server.
- (2) In accordance with any instructions provided by the Manufacturer, you may:
- (i) preinstall the Software on a Server. You must preinstall the Software only at locations you own or lease and control. Information on using available tools and options for preinstallation are provided in the Windows ADK on http://www.microsoft.com ; or
- (ii) include one copy of the Software on external media in the Server package.
- (b) Except as otherwise permitted in this License, you may not use, run, copy, modify, display, repackage, or reassemble the Software or any part of it. You may not reverse engineer, decompile, or disassemble all or any part of the Software, except to the extent expressly permitted by this License or law. All rights not expressly granted herein are reserved. This License is not part of the Software and you may not distribute this License.
- 3. Software Distribution
- (a) License Terms. You may distribute and sublicense the Software to End Users only under the License Terms that accompany it. Before delivering the Server to the End User, you must ensure that the “sysprep/oobe/shutdown” function is run, to enable the End User to accept the License Terms. You are responsible for ensuring that each End User accepts the License Terms in a manner that is legally binding upon the End User. You may not accept the License Terms on behalf of the End User. Under the License Terms, the Manufacturer is the licensor of the Software.
- (b) COA. If the Software contains a COA provided as a label on a COA card, you must affix the COA to the outside of the Server in an easily accessible location before distribution. If applicable, the COA, must be distributed together with the Software and Server to the End User.
- (c) Processor Versions and Requirements. The Server which is distributed with the Software may not have a Processor version of the Software which includes more Processors than the highest number of Processors listed on the COA. This applies to each partition of a Partitioned Server. If the Software in the Pack is licensed per Processor, you must distribute a number of licenses equal to or greater than the number of Processors in the Server, including any Processors in a partition where the Software will be run.
- (d) Additional Processor Requirements for Windows Server Products. You may only distribute the Software with a Server that meets the Processor Requirements for the Software.
- (e) Hardware Requirements for Windows Server Operating Systems Products. All Servers that include the Software must meet the hardware requirements for the Software as specified in the document located at https://msdn.microsoft.com/library/windows/hardware/dn915086(v=vs.85).aspx (or updated URL) (“Minimum Hardware Requirements”).
- (f) Client Access Licenses (CAL). You may distribute CALs with the Software and Server to the End User, or separate from the Software and Server but only to End Users to whom you have previously shipped the Server and Software for which the CAL is intended.
- (g) Additional Licenses. Software labeled “additional license”, if available, only includes a COA, and no unit of Software or product key. Additional licenses may only be distributed inside the Server package with the corresponding Base License.
- (h) Language Restrictions. If the Software contains language version restrictions, you must notify End Users before distributing the Software to any End User.
- (i) Geographical Restrictions. You must follow any geographical distribution restrictions or requirements contained in the Software.
- (j) Third Party Beneficiary. By distributing the Software, you agree that Microsoft Corporation (or its licensing subsidiaries), is an intended third-party beneficiary with rights to enforce rights and duties under this License.
- (k) Additional Server Requirements. A Server must be marketed and distributed as a general purpose server for use by End Users. A “general purpose server” is a Server that provides general production use functionality to End Users, including file/print services, support for line of business applications, database, messaging, networking, etc. A general purpose server is not a Server that is distributed for purposes of marketing and distributing applications to End Users.
- 4. Software Specific Terms
- (a) Important Validation Behavior for Server Software. Use of certain Software in the Pack validates specific User Account and Active Directory configurations required by the License Terms, and continued non-compliance may result in warnings and Server shutdown. You must provide the following or substantially similar notice in a clear and conspicuous manner to End Users prior to distributing the Software to any End User:
“Certain Microsoft® server technologies included with this server may limit the number of allowed user accounts and/or require certain Active Directory and domain configurations. If not properly configured, the software will generate warnings that will alert you about the behavior of the software in the absence of corrective measures, which may include the periodic shutdown of the server. The warnings and shutdowns will stop once the configuration is corrected. For more information about these features, please review the product-specific documentation located on http://www.microsoft.com. ”
You shall defend Microsoft and its subsidiaries and affiliates, and pay the amount of any final adverse judgment (or settlement to which you consent) arising from third party claims or demands resulting from your failure to provide the notice as required above.
- 5. Disclaimer Of All Warranties. The Software is licensed “as-is.” You bear the risk of using and distributing the Software. Unless required by law, Microsoft and Manufacturer give no express warranties, guarantees or conditions. To the extent permitted under Laws, Microsoft and Manufacturer exclude the implied warranties or conditions of merchantability, fitness for a particular purpose and non-infringement.
- 6. Limitation Of Liability And Remedies. The entire liability of Microsoft, the Manufacturer and any of their suppliers under any provision of this License, and your exclusive remedy hereunder will be limited to the greater of the amount that you actually paid for the Pack or USD $5.00. Microsoft and Manufacturer disclaim all liability for lost profits, indirect, consequential, incidental, economic, special or punitive damages. The limitations in this section apply to the Software, and claims for breach of contract, breach of warranty or condition, strict liability or negligence or other tort. The limitations also apply even if you are not fully compensated for any losses, or Microsoft and/or Manufacturer knew or should have known about the possibility of damages. You also release Microsoft, Manufacturer and any of their suppliers from all liability in excess of the limits in this section. This release includes any claim for indemnification or contribution even if such claims arise under local law. The limitations in this section do not apply to your breach of Microsoft intellectual property rights.
- 7. Business Integrity Principles.
- (a) Compliance with Laws. You will conduct your business activities under this License in full compliance with all Laws. Without limiting the foregoing, you will:
- (1) comply with all domestic and international export Laws that apply to the Software. These Laws include restrictions on destinations, End Users and end use. For additional information, see http://www.microsoft.com/exporting. The Software in this Pack is subject to U.S. and international export Laws.
- (2) comply with Laws that govern the rights to and protection of Manufacturer or Microsoft’s copyrights, trademarks, patents, trade secrets, and other forms of intellectual property;
- (3) comply with Laws that govern labor practices, human rights, and health and safety; and
- (4) obtain and maintain any required local government approvals, at your own expense.
- (b) Privacy and Data Security. You will comply with Data Protection Laws (as defined herein and as applicable). Without limiting the foregoing, you will:
- (1) Not use or share Personal Data received from the other party (or its customers) for any purpose for which it has not obtained consent;
- (2) establish independent procedures for managing and responding to any communication from a customer seeking to exercise its rights under Data Protection Laws;
- (3) provide reasonable assistance to the other in responding to any requests, investigation, consultation, or claims from a customer, regulator, or supervisory authority concerning Data Protection Law;
- (4) take appropriate security measures that are required by Data Protection Laws, and in accordance with good industry practice relating to data security; and
- (5) refrain from transmitting unsolicited commercial communications in any manner that would violate applicable Laws.
- (c) Business Conduct. You will conduct your business activities with integrity, and in full compliance with all applicable Laws relating to business conduct. Without limiting the foregoing, you will:
- (1) comply with anti-corruption Laws, such as the U.S. Foreign Corrupt Practices Act, and other Laws prohibiting bribery, corruption, inaccurate books and records, inadequate internal controls, and money-laundering;
- (2) ensure that none of your representatives, directly or indirectly pays or offers to pay anything of value (including gifts, travel, hospitality, charitable donations, or employment) to any candidate for political office or to any official or employee (including elected officials or any private person acting on behalf of a public sector entity) of any governmental entity, public international organization, or political party, to improperly influence any act or decision of such person for the purpose of promoting the business interests of either party;
- (3) refrain from making any unauthorized representation or commitment on behalf of the other party;
- (4) ensure that all communications to your customers and the other party are complete, truthful, accurate, not misleading, and include the required disclosures; and
- (5) refrain from retaliating against anyone who has, in good faith, reported a possible violation of the foregoing commitments.
- (d) Business Conduct Training. For your employees in a position to influence the pricing, terms, or conditions under which Software is distributed, resold, or marketed (but excluding employees engaged solely in distribution of Software to End Users), you will:
- (1) provide regular training on anti-corruption Laws and business integrity principles to your employees who use, resell, distribute, or market Software; or
- (2) ensure (and certify upon request) that such employees regularly complete online anti-corruption training made available free of charge by Microsoft at http://aka.ms/MPNanticorruptiontraining .
- (e) Monitoring and Reporting. If either party has a good-faith reason to believe that the other party is in violation of anti-corruption Laws in connection with business or sales activity relating to this License, it will notify the other party with a general description of the nature of the concern, and the reason for its belief. You may also contact Microsoft’s Anti-Corruption Alias ( ANTICPT@microsoft.com ) or the Business Conduct Alias ( BUSCOND@microsoft.com ) with questions or requests for further information or guidance. The parties (and Microsoft) will confer in good faith on an appropriate and lawful approach to addressing the concern.
- 8. General Provisions.
- (a) Not Stand-Alone Product / Advertising Restrictions. Unless otherwise authorized by Microsoft, you will not advertise, give a separate price for, or otherwise market or distribute the Software as separate from the Server. However, you may compensate End Users for Software returned to you under the License Terms.
- (b) Taxes and Other Charges Excluded. You are responsible for any taxes, duties, fees, excises or tariffs imposed on any of your activities in connection with this License. You must pay these charges, taxes and other fees.
- (c) Records. You must keep complete and accurate records of the number of Packs received from Manufacturer and the Software shipped to End Users. You must make this information available to Manufacturer on request. This includes financial statements and all documents related to acquisition, inventory, distribution and return of Software.
- (d) Severability. If a court holds any term of this License to be illegal, invalid or unenforceable, the remaining terms will remain in full force and effect.
- (e) Non-Exclusivity. Nothing in this License restricts you from supporting, promoting, distributing, or using non-Microsoft software or hardware.
- (f) Governing Law. If Software was acquired in North America, the laws of the State of Washington, U.S.A. will govern this License. If the Software was acquired in a member state of the European Union or the European Free Trade Association, then the laws of Ireland will govern this License. If Software was acquired in any other country, the laws of the country in which the Software was acquired will govern this License.
- (g) UN Convention. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this License.
- (h) Technology Transfer. This License does not create a “technology transfer” agreement, as defined by law because (a) the technology (including any software) made available under this license is not an integrated part of a technology chain for production or management purposes, and (b) the technology (including any software) will have its own technology license. You will not hold yourself out as our technology recipient and will not attempt to identify Microsoft as a technology provider under this License.
- (i) Legal Effect. This License describes certain legal rights. You may have other rights under the Laws of your state or country. You may also have rights with respect to the party from whom you acquired the software. This License does not change your rights under the Laws of your state or country if the Laws of your state or country do not permit it to do so.
